# Smoltek takes the next step towards commercialization – carries out rights issue of approximately SEK 60 million

Smoltek is fac­ing a cru­cial phase in the com­pa­ny’s devel­op­ment. After sev­er­al years of tech­nol­o­gy devel­op­ment and strate­gic part­ner­ships, the com­pa­ny is now con­duct­ing a rights issue of approx­i­mate­ly SEK 60 mil­lion to accel­er­ate com­mer­cial­iza­tion in two mar­kets with strong struc­tur­al growth: semi­con­duc­tors and green hydrogen.

Smoltek är ett sven­skt nan­ote­knologi­bo­lag med patentsky­d­dad teknolo­gi för tillverkn­ing av ver­tikala kol­nanofi­br­er (CNF) med tillämp­ningar inom halvledare och vät­gas. Inom vät­ga­som­rådet har dot­ter­bo­laget Smoltek Hydro­gen gjort bety­dande fram­steg med sin PTE-teknik som kraftigt min­skar behovet av irid­i­um i elek­trolysör­er och därmed bidrar till kost­nad­sef­fek­tiv grön vät­gaspro­duk­tion. Samar­beten med Her­aeus stärk­er vägen mot indus­triell pro­duk­tion. Sam­tidigt fort­sät­ter Smoltek Semi utveck­lin­gen av CNF-MIM-kon­den­sator­er och för­bered­er en pilot­pro­duk­tion­slin­je i samar­bete med tai­wane­siska ITRI..

För att stär­ka Bolagets finan­siel­la ställ­ning samt möjlig­göra fort­satt utveck­ling och kom­mer­sialis­er­ing genom­för Smoltek en nye­mis­sion av akti­er om cir­ka 60,0 MSEK med företrädesrätt för befintli­ga aktieägare.

Bolaget har på för­hand erhål­lit teck­n­ings­förbindelser om totalt cir­ka 15,4 MSEK från led­ningsper­son­er, styrelseledamöter samt större befintli­ga aktieä­gare. Därutöver har Bolaget ingått avtal som garan­tiå­ta­gan­den om totalt cir­ka 36,2 MSEK. 

Företräde­se­mis­sio­nen utgör det sista steget i den finan­sier­ings­plan som styrelsen pre­sen­ter­ade i decem­ber 2024. Net­to­likv­i­den avs­es främst använ­das för kund­driv­en utveck­ling, pro­duk­tan­pass­ningar, forskn­ing och utveck­ling, investeringar kop­plade till indus­tri­alis­er­ing och pro­to­typfram­tagn­ing samt försäljn­ings- och kom­mer­sialis­er­ingsak­tiviteter. Syftet är att accel­erera kom­mer­sialis­erin­gen av Smolteks teknolo­gi och ska­pa förut­sät­tningar för pos­i­tivt kas­saflöde från och med 2027.

- Aktieä­gare som är reg­istr­erade i Smoltek på avstämn­ings­da­gen den 10 juni 2026 erhåller en (1) uni­trätt för var­je innehavd aktie. Nio (9) uni­trät­ter berät­ti­gar till teck­n­ing av en (1) Unit. Var­je Unit består av två (2) nyemit­ter­ade akti­er och en (1) ved­er­lags­fri teck­n­ing­sop­tion av serie TO 9.
- Teck­n­ingskursen uppgår till 3,00 SEK per Unit, motsvarande 1,50 SEK per ny aktie. Även invester­are som inte är befintli­ga aktieä­gare kan ansö­ka om teck­n­ing av Units utan stöd av uniträtter.
- Företräde­se­mis­sio­nen omfat­tar högst 20 122 461 Units, motsvarande högst 40 244 922 nya akti­er och 20 122 461 teck­n­ing­sop­tion­er av serie TO 9. Vid full teck­n­ing tillförs Smoltek cir­ka 60,4 MSEK före emissionskostnader.

- **Teck­n­ingsre­la­tion:** 2:9. Det innebär att en (1) befintlig aktie ger en (1) uni­trätt. Nio (9) uni­trät­ter ger rätt att teck­na en (1) unit.
- **Unitens innehåll:** Var­je unit består av två (2) nya akti­er och en (1) teck­n­ing­sop­tion av serie TO 9.
- **Utspäd­ning:** Max­i­malt cir­ka 18,2 procent.
- **Säk­er­stäl­lande:** Emis­sio­nen är säkrad till cir­ka 85,6 pro­cent genom teck­n­ings­förbindelser (ca 15,4 MSEK) och garan­tiå­ta­gan­den (ca 36,2 MSEK).
- **Syfte:** Kap­i­talet ska främst använ­das för kom­mer­sialis­er­ing av bolagets nan­oteknik samt för att stär­ka rörelsekapitalet.

Teck­n­ingspe­ri­o­den löper från 12 juni 2026 till och med 26 juni 2026. Notera att teck­n­ingsti­den kan vari­era mel­lan oli­ka banker och för­valtare. Aktieä­gare som önskar teck­na i emis­sio­nen upp­manas där­för att kon­tak­ta sin bank eller för­valtare i god tid under teckningsperioden.

**Smoltek Nan­otech Hold­ing AB has decid­ed to car­ry out a new share issue of approx­i­mate­ly SEK 60.0 mil­lion with pref­er­en­tial rights for exist­ing share­hold­ers. The sub­scrip­tion peri­od runs from June 12, 2026 to June 26, 2026.**

Smoltek is a Swedish nan­otech­nol­o­gy com­pa­ny with patent­ed tech­nol­o­gy for the pro­duc­tion of ver­ti­cal car­bon nanofibers (CNF) with appli­ca­tions in semi­con­duc­tors and hydro­gen. In the hydro­gen area, the sub­sidiary Smoltek Hydro­gen has made sig­nif­i­cant progress with its PTE tech­nol­o­gy, which sig­nif­i­cant­ly reduces the need for irid­i­um in elec­trolyz­ers and there­by con­tributes to cost-effec­tive green hydro­gen pro­duc­tion. Col­lab­o­ra­tions with Her­aeus strength­en the path towards indus­tri­al pro­duc­tion. At the same time, Smoltek Semi con­tin­ues the devel­op­ment of CNF-MIM capac­i­tors and is prepar­ing a pilot pro­duc­tion line in col­lab­o­ra­tion with Tai­wanese ITRI..

To strength­en the Com­pa­ny’s finan­cial posi­tion and enable con­tin­ued devel­op­ment and com­mer­cial­iza­tion, Smoltek is car­ry­ing out a new share issue of approx­i­mate­ly SEK 60.0 mil­lion with pref­er­en­tial rights for exist­ing shareholders.

The Com­pa­ny has pre­vi­ous­ly received sub­scrip­tion com­mit­ments total­ing approx­i­mate­ly SEK 15.4 mil­lion from man­age­ment, board mem­bers and major exist­ing share­hold­ers. In addi­tion, the Com­pa­ny has entered into agree­ments as guar­an­tee com­mit­ments total­ing approx­i­mate­ly SEK 36.2 million.

The rights issue con­sti­tutes the final step in the financ­ing plan that the Board of Direc­tors pre­sent­ed in Decem­ber 2024. The net pro­ceeds are intend­ed to be used pri­mar­i­ly for cus­tomer-dri­ven devel­op­ment, prod­uct adap­ta­tions, research and devel­op­ment, invest­ments relat­ed to indus­tri­al­iza­tion and pro­to­typ­ing, and sales and com­mer­cial­iza­tion activ­i­ties. The pur­pose is to accel­er­ate the com­mer­cial­iza­tion of Smoltek’s tech­nol­o­gy and cre­ate the con­di­tions for pos­i­tive cash flow from 2027. 

### Summary of Terms

- Share­hold­ers reg­is­tered in Smoltek on the record date of June 10, 2026 will receive one (1) unit right for each share held. Nine (9) unit rights enti­tle them to sub­scribe for one (1) Unit. Each Unit con­sists of two (2) new­ly issued shares and one (1) free sub­scrip­tion war­rant of series TO 9.
- The sub­scrip­tion price is SEK 3.00 per Unit, cor­re­spond­ing to SEK 1.50 per new share. Investors who are not exist­ing share­hold­ers may also apply to sub­scribe for Units with­out the sup­port of unit rights.
- The rights issue com­pris­es a max­i­mum of 20,122,461 Units, cor­re­spond­ing to a max­i­mum of 40,244,922 new shares and 20,122,461 sub­scrip­tion war­rants of series TO 9. Upon full sub­scrip­tion, Smoltek will receive approx­i­mate­ly SEK 60.4 mil­lion before issue costs.

**Expla­na­tion of terms and details**

- **Sub­scrip­tion ratio:** 2:9. This means that one (1) exist­ing share gives one (1) unit right. Nine (9) unit rights give the right to sub­scribe for one (1) unit.
- **Unit con­tent:** Each unit con­sists of two (2) new shares and one (1) sub­scrip­tion war­rant of series TO 9.
- **Dilu­tion:** Max­i­mum approx­i­mate­ly 18.2 percent.
- **Col­lat­er­al:** The issue is col­lat­er­al­ized to approx­i­mate­ly 85.6 per­cent through sub­scrip­tion com­mit­ments (approx­i­mate­ly SEK 15.4 mil­lion) and guar­an­tee com­mit­ments (approx­i­mate­ly SEK 36.2 million).
- **Pur­pose:** The cap­i­tal will pri­mar­i­ly be used for the com­mer­cial­iza­tion of the com­pa­ny’s nan­otech­nol­o­gy and to strength­en work­ing capital.

**Impor­tant dates**  
The sub­scrip­tion peri­od runs from June 12, 2026 to June 26, 2026. Please note that the sub­scrip­tion peri­od may vary between dif­fer­ent banks and man­agers. Share­hold­ers who wish to sub­scribe to the issue are there­fore advised to con­tact their bank or man­ag­er well in advance dur­ing the sub­scrip­tion period.
